CONSTITUTION AND RULES - 2009
1.0 NAME
The Club shall be called the Waitakere Smallbore Rifle Club (Incorporated).
2.0 OBJECTS
The objects of the Club are:
(a) To provide instruction and practice in the use of the Smallbore Target Rifle.
(b) To promote and encourage individual and club competition.
(c) In co-operation with all the Rifle Associations and other Clubs to promote and encourage Smallbore Target Rifle competitions.
3.0 POWERS
(a) To purchase, lease, hire, sell, or otherwise deal with real or personal property.
(b) To deal in any manner with any part of the Club’s property.
(c) To borrow, raise, receive, administer and expend money in such terms as the Club may from time to time approve.
(d) To employ at such remuneration and on such terms as the Club may think fit any person to act as Secretary or to perform any other work (of a special nature) in the furthering of the objects of the Club.
(e) Generally to do all such things as are incidental or conducive to the attainment of the objects or the exercise of the powers of the Club.
4.0 MEMBERSHIP
(a) Any person may apply for Club Membership.
(b) Application for Club Membership may be made to the Secretary, or to an Officer or Member of the Committee of the Club. Such applications shall be considered at the next meeting of the Committee. The Club shall have the right to decline any application for membership of any person. However, the declined applicant may appeal before the Committee. The decision of the Committee shall be final.
5.0 CESSATION OF MEMBERSHIP
Any member will cease to be a member by:
(a) Resignation at any time in writing to the Secretary.
(b) A resolution passed by the Committee. Any expelled member may appeal before the Committee.
6.0 REGISTER OF MEMBERS
The club shall keep a register of its members containing the names, addresses and occupations of those members, and dates at which they became members.
7.0 REGISTERED OFFICE
The Club shall have a registered office and notice of the situation of that office and of any change therein shall be given to the Registrar of Incorporated Societies as soon as possible after any change is made.
8.0 ALTERATION OF RULES
These rules or any of them may be altered, added to or rescinded at any General Meeting of the Club of which at least 28 clear days notice shall be given, such notice to contain a copy of the proposed amendments.
9.0 MEETINGS
An Annual General Meeting shall be held as soon as practicable after the end of the current year (at least 7 days notice of such meeting shall be given to the members) at which the following business shall be transacted:
(a) Minutes of the previous A.G.M. and business arising therefrom.
(b) Adoption of the President’s report.
(c) The adoption of a balance sheet and Treasurer’s report.
(d) Election of Officers.
(e) Consideration of general business.
9.1 The quorum at a General Meeting of the Club shall be 6, or 1/3rd of the current membership, whichever is the greater.
The quorum at a Committee Meeting of the Club shall be 4.
9.2 A Special General Meeting of the Club may be convened at any time by a direction of' the Officers of the Club or on a requisition signed by not less than one half of the current financial members of the Club and delivered to the Secretary. Such meetings shall be confirmed within 14 days of receipt of the requisition.
9.3 Seven clear days notice shall be given in writing to members of any General Meeting.
9.4 The Officers of the Club shall comprise the Committee and shall be elected at the Annual General Meeting and consist of the following:
(a) President.
(b) Vice-President.
(c) Secretary/Treasurer.
(d) Club Captain.
(e) Chief Range Officer.
(f) Such other officers as the Club may from time to time consider necessary.
9.5 The Officers shall hold office for one (1) year and shall be eligible for re-election.
9.6 In the case of any Officer of the Club being unable to continue their duties through illness, death, resignation, or for any other reason, the Committee shall have the power to elect or co-opt any member as a temporary replacement until the next Annual General Meeting.
10.0 POWERS OF COMMITTEE
The management of the business of the Club shall be vested in the Committee and the Committee may exercise all such powers and do all things as the Club is by its rules authorized to do, except those things which may only be done by the Club in General Meeting.
11.0 DELEGATES
The Committee may from time to time appoint a delegate or delegates to represent the Club on matters of interest or concern of the Club.
12.0 MINUTES
The Secretary shall cause minutes to be duly entered in the books, kept for the purpose, of all appointments of Officers, of the names of members present at each meeting and all resolutions and proceedings of meetings. Such minutes, if signed by the Chairman of the meeting or by the Chairman of the next meeting, shall be conclusive evidence of the matters stated in the minutes.
13.0 VOTING
(a) At any meeting of the Club there shall be no proxy votes and the Chairman of the meeting shall have a deliberative as well as a second casting vote.
(b) Voting on motions shall be by voice, and in the event of doubt or on request, by ballot.
14.0 SUBSCRIPTION
The Club shall at its Annual General Meeting decide the annual subscription for its members and the date by which the subscription shall be paid.
15.0 FINANCIAL
All moneys received shall be paid to the credit of the Club at such Bank as the Committee shall from time to time appoint, and cheques on the Bank Account and other negotiable instruments shall be signed by
any two of the Officers of the Committee.
15.1 The Financial Year of the Club shall be from 1st. October to 30th. September.
16.0 BY-LAWS
The Committee may make By-laws and Regulations in regard to:
(a) The use of the Club premises and in particular the range.
(b) The terms and conditions of all competitions.
(c) Handicapping.
(d) Entry fees for all competitions.
16.1 All By-Laws made by the Committee under this rule shall be published by being exhibited on the Club Notice Board, and thereafter shall be in full force and effect, but shall be submitted for confirmation at the next Annual General Meeting.
17.0 WINDING UP
The Club may be wound-up or dissolved in any of the ways provided for in the Incorporated Societies Act, 1908.
In the event of a Winding-up or dissolution of the Club a special General Meeting of the Club shall be called. The Club shall then proceed forthwith to decide how the surplus assets of the Club shall be applied exclusively for charitable purposes in New Zealand.
18.0 COMMON SEAL
The Committee shall have a Common Seal which shall be kept in the safe custody of the Secretary and shall only be used by a resolution of the Club, and every instrument to which the Seal is affixed shall be signed by two of the Officers of the Committee.
19.0 INDEMNITY OF OFFICERS
No Officer of the Club shall be liable from the acts, receipts, neglects or defaults of any other Officer of the Club, or for any loss resulting from any error of judgment or oversight on his part, or for any other loss, damage, or liability whatever which shall arise in the execution of the duty of his office or relation thereto, unless it arises through his own wilful default or negligence.
